Dividend payment and broader ownership base in Copenhagen Malmö Port AB

At CMP’s Annual General Meeting on 31 May the Board of Directors approved a dividend payment of SEK 60 million. It was also decided that the holding company, Malmö Hamn AB, will be wound down. Its Swedish shareholders will thereby become direct owners of CMP.


The adopted dividend payment of SEK 60 million is equivalent to SEK 16.66 per share. The decision to increase the degree of direct ownership of CMP should be viewed against the background of the new concession agreement concluded in 2010, which gives CMP the right to use the ports in Copenhagen and Malmö until 2035. In connection with the conclusion of the agreement a decision was also taken to transfer the shares of the Swedish holding company, Malmö Hamn, to CMP’s current owners. The transaction does not change the ownership structure of CMP, but direct ownership will strengthen the image of CMP as a company with strong ties to public- as well as private-sector organisations in the Öresund region.


Following the transaction, By & Havn I/S will be the largest single owner with 50 per cent of the share capital, followed by the City of Malmö with 27 per cent and private Swedish shareholders with 23 per cent. The largest of these private shareholders is Norra Vallgatan Förvaltnings AB, which owns 11 per cent of the share capital of CMP.


New Chairman


At the AGM the current Board Directors Anders Rubin and Peter Maskell were appointed Chairman and Deputy Chairman of the Board, respectively. The post of Chairman in CMP shifts every two years between the Directors appointed by By & Havn I/S and the City of Malmö.


• Anders Rubin is a municipal commissioner at the Malmö Local Authority and has been a Director of CMP since 2007.
• Peter Maskell is a professor at the Copenhagen Business School and has been a Director of CMP since 2001.
The current Directors Carsten Koch, Stefan Lindhe, Joen Magnusson, Mette Reissmann, Michael Soetmann and Åke Svensson were re-elected to the Board. The current employee representatives, Thomas Bendtsen, Kerry Forsberg, Søren Nyegaard and Bengt Gustafsson, were also re-elected.
